About PPTX Builder

This agreement (“Agreement”) is a binding legal agreement between you (and the organization (as defined in this agreement) (“Client”) which you represent, if you are using the software (or acquiring rights to use software) for or on behalf of that organization) (collectively, client, you, your) and: PPTX Builder (operated under a general partnership in the UNITED KINGDOM (UTR: 1327295563)) (the owners of the platform, we, us, our).

Acceptance of terms

Your access to and use of PPTX Builder ("the Platform") is subject exclusively to these Terms and Conditions. You will not use the Platform for any purpose that is unlawful or prohibited by these Terms and Conditions. If you do not accept these Terms and Conditions, you must immediately stop using PPTX Builder.

Platform license fee

Access to PPTX Builder platform is subject to a license fee. The license fee is according to agreement between the owners of the Platform and the client. The platform fee payment is according to a schedule as agreed by the owners of the Platform and the client. Client will be issued an invoice manually via email. Client will pay within 30 days.

API Usage fee:

API Clients will pay for the number of slides in each API request sent to and rendered in PPTX Builder. Usage costs are as agreed by the owners of the Platform and the client. The API usage fee payment is according to a schedule as agreed by the owners of the Platform and the client. Client will be issued an invoice manually via email. Client will pay within 30 days.

QA Licenses:

Client will be granted a maximum of 5 QA licenses at no extra cost. QA license will be used for testing purposes only. Any calls made to the API for QA purposes will be at no cost to Client.

Changes in pricing

PPTX Builder reserves the right to change the platform and API pricing. Any platform or API fees that has already been agreed in a contract will not change.

License Grant; Restrictions

The owners of the Platform grants to Client and their users, both internal and external, which is non transferable and exclusive, to use PPTX Builder via the API. Clients may not reverse engineer, reverse compile, sublicense, rent, lease, disclose or assign the Platform and may not use, copy, modify, merge or transfer copies of the Platform except as expressly provided in this Agreement. No other licenses are granted under this Agreement except those expressly contained in this Agreement.

Ownership Rights:

PPTX Builder agrees and acknowledges that Client and its own client users have exclusive, unlimited ownership rights to any data transmitted to PPTX Builder for the purposes of manipulation by the software and to all work product outputs produced through the PPTX Builder software. In addition, Client shall be the sole, exclusive, unlimited owner for any software developed internally by the Client on its side that is required to access the API. PPTX Builder is the sole, exclusive, unlimited owner of the software and anything developed internally by PPTX Builder.

Branding

PPTX Builder shall not use Client’s brand or name without prior written consent from Client. The same limitation shall apply to Client’s client users, except that consent for usage of a Client’s client name or brand rests solely with that respective entity.

Advice

The contents of the Platform do not constitute advice and should not be relied upon in making or refraining from making, any decision.

Changes to PPTX Builder

The features and functions PPTX Builder, including the API, may change over time. PPTX Builder will make commercially reasonable efforts to avoid making changes to the PPTX Builder Platform that are not backwards compatible, but if any such changes become necessary, we will use reasonable efforts to notify the client thirty (30) days prior to implementing those changes and PPTX Builder will work with client to ensure that the API connection is maintained on its end in a reasonable way.

Security

PPTX Builder is hosted by and operated through Heroku, a cloud based application platform. Heroku uses Amazon’s secure data centres within the EAA region (Dublin, Ireland to be specific) and utilize the Amazon Web Service (AWS) technology such as AWS Shield (protection service that safeguards web applications).

PPTX Builder website and application uses Secure Sockets Layer (SSL) technology to protects user information and uploaded data. This uses both server authentication and data encryption, ensuring that user data is safe, secure, and available only to authorized persons.

Amazon’s data centre operations have been accredited under:

· ISO 27001 · SOC 1 and SOC 2/SSAE 16/ISAE 3402 (Previously SAS 70 Type II) · PCI Level 1 · FISMA Moderate · Sarbanes-Oxley (SOX)

Database and Passwords

PPTX Builder uses a Heroku’s Postgres database. Passwords are encrypted before they are stored in our database. To see what kind of data we gather and what we do with it, please read our privacy policy.

Disclaimers and limitation of liability

The Platform is provided on an "AS IS" and "AS AVAILABLE" basis without any representation or endorsement made and without warranty of any kind whether express or implied, including but not limited to the implied warranties of satisfactory quality, fitness for a particular purpose, non-infringement, compatibility, security and accuracy. We will not be liable for any indirect or consequential loss or damage whatever (including without limitation loss of business, opportunity, data, profits) arising out of or in connection with the use of the Platform.

Indemnity

You agree to indemnify and hold the Platform owners harmless from and against all liabilities, legal fees, damages, losses, costs and other expenses in relation to any claims or actions brought against us arising out of any breach by you of these Terms and Conditions or other liabilities arising out of your use of this Platform.

Termination

Either party may terminate this Agreement for a material breach of this Agreement provided that the party in default has not cured such breach within thirty (30) days of receiving written notice from the other party.

Severance

If any of these Terms and Conditions should be determined to be invalid, illegal or unenforceable for any reason by any court of competent jurisdiction then such Term or Condition shall be severed, and the remaining Terms and Conditions shall survive and remain in full force and effect and continue to be binding and enforceable.

Governing law

These Terms and Conditions shall be governed by and construed in accordance with the law of England and you hereby submit to the exclusive jurisdiction of the English courts.
